Siemens to Acquire UGS

CIMdata has been informed by UGS that Siemens AG will announce their intent to acquire UGS Corporation for US$3.515 billion, pending all necessary governmental reviews and approvals. According to a UGS source, UGS will become a group within Siemens' Automation and Drives division, a 12.8 billion Euro unit headquartered in Nuremburg, Germany. UGS reported that the long-term strategic views of the two firms are quite consistent, and that the acquisition will allow them to blend Seimens' and UGS' complementary programs to provide a broader suite of solutions to the market.

Siemens' Automation and Drives division handles all of their factory automation technologies, and a major intent of this move is to integrate Siemens' automation technologies with the PLM technologies of UGS. According to UGS, they plan to "create the world's first supplier of software and hardware across the complete product and production lifecycle." The initial integrations will heavily leverage UGS' Digital Manufacturing technologies, an integral part of the overall UGS PLM portfolio of offerings.

No operational details have been announced at this time. According to UGS, further details about this acquisition are to be announced tomorrow, January 25, 2007.

This action is clearly a major event in the PLM industry, with one of the largest and most well known suppliers being acquired. The impact on the industry should be significant. CIMdata will publish additional commentary over the coming days as more details become available.
